These Terms and Conditions ("Terms") govern your access to and use of the SIPLIVE platform, including the web portal, APIs, voice services, SMS messaging, contact center features, and related services (collectively, the "Service") operated by SipLive LLC ("SIPLIVE," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, accessing the portal, or using any feature of the Service, you represent that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
SIPLIVE is a multi-tenant telecommunications management platform that provides:

SIPLIVE currently provides hosted PBX software and infrastructure only and is not a telecommunications carrier. You must contract directly with a licensed carrier or SIP-trunk provider for call origination and termination. All call charges, minutes, surcharges, taxes, and regulatory fees are billed by your carrier directly to you and are your sole responsibility.
Telecommunications fraud — including toll fraud arising from a compromised PBX — is a material risk. You are responsible for all activity and traffic under your account or tenant, including traffic resulting from unauthorized access, compromise, or misconfiguration you did not intend, and for maintaining the security of your credentials, endpoints, and configuration. Where you use your own carrier, such charges are billed by and owed to that carrier. Your detailed security and fraud obligations are set out in our Acceptable Use Policy.
If and when SIPLIVE provides carrier/trunking services to you (not offered today), additional terms apply: you are liable for all traffic on your account, including fraudulent or unauthorized usage, regardless of fault (other than SIPLIVE's gross negligence or willful misconduct); international and high-risk destinations are disabled by default and require opt-in with an express assumption of liability; carrier service may be prepaid and subject to spending caps; SIPLIVE may suspend or throttle without prior notice on suspected fraud; and you will indemnify SIPLIVE for fraud-related charges, including amounts SIPLIVE owes to its upstream carriers. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms. You agree that we may process data as described in the Privacy Policy.
As a multi-tenant platform, your data is logically isolated from other tenants. You retain ownership of your data. We will not access your data except as necessary to provide the Service, comply with legal obligations, or as expressly authorized by you.
The SIPLIVE platform, including its software, design, and documentation, is proprietary to SIPLIVE. These Terms do not grant you any rights to our trademarks, logos, or intellectual property beyond the limited license to use the Service as described herein.
The Service integrates with third-party providers including telecommunications carriers, identity providers, cloud storage services, and notification platforms. Your use of those integrations is also subject to the terms of those third parties. We are not responsible for the availability, accuracy, or conduct of third-party services.
We strive to maintain platform availability but do not guarantee uninterrupted service. We reserve the right to perform maintenance, updates, and modifications to the Service. Beta features are provided without uptime commitments.
To the fullest extent permitted by applicable law, SIPLIVE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, business interruption, or failure of telecommunications services, arising from your use of or inability to use the Service.
You agree to indemnify and hold harmless SIPLIVE, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our retention policy.
We may update these Terms periodically. The "Last updated" date reflects the most recent revision. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated through the platform or by email.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any disputes shall be resolved through good-faith negotiation, and failing that, through binding arbitration or the state or federal courts located in Florida, and you consent to the personal jurisdiction and venue of such courts.
