These Terms and Conditions ("Terms") govern your access to and use of the SIPLIVE platform, including the web portal, APIs, voice services, SMS messaging, contact center features, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account, accessing the portal, or using any feature of the Service, you represent that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

As a multi-tenant platform, your data is logically isolated from other tenants. You retain ownership of your data. We will not access your data except as necessary to provide the Service, comply with legal obligations, or as expressly authorized by you.

8. Intellectual Property

The SIPLIVE platform, including its software, design, and documentation, is proprietary to SIPLIVE. These Terms do not grant you any rights to our trademarks, logos, or intellectual property beyond the limited license to use the Service as described herein.

9. Third-Party Services

The Service integrates with third-party providers including telecommunications carriers, identity providers, cloud storage services, and notification platforms. Your use of those integrations is also subject to the terms of those third parties. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Availability and Support

We strive to maintain platform availability but do not guarantee uninterrupted service. We reserve the right to perform maintenance, updates, and modifications to the Service. Beta features are provided without uptime commitments.

11. Limitation of Liability

To the fullest extent permitted by applicable law, SIPLIVE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, business interruption, or failure of telecommunications services, arising from your use of or inability to use the Service.

12. Indemnification

You agree to indemnify and hold harmless SIPLIVE, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our retention policy.

14. Modifications to Terms

We may update these Terms periodically. The "Last updated" date reflects the most recent revision. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated through the platform or by email.

15. Governing Law

These Terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation, and failing that, through binding arbitration or courts of competent jurisdiction.
